The Competition Authority, headed by the Commissioner of Competition, is the body that receives notices and decides whether to consent.<\/p>\n<p>The logic is simple even if the paperwork is not. The state wants to know about transactions that could change who holds power in a market, and it wants to know before they close. Academic commentary on the regime, such as the <a href=\"https:\/\/www.colman.ac.il\/teaching\/our-centers\/heth-center\/database\/mergers\/\" rel=\"nofollow noopener noreferrer\" target=\"_blank\">merger database of the Heth Center for competition and regulation<\/a>, describes a system that tries to balance business efficiency with protection for minority shareholders and creditors, using strict disclosure and approval steps.<\/p>\n<p>Two questions decide whether you have to file:<\/p>\n<ol>\n<li>Is the transaction a \u201cmerger of companies\u201d under the law?<\/li>\n<li>Does it meet one of the statutory alternatives, such as the turnover test or a monopoly position?<\/li>\n<\/ol>\n<p>Both need an answer before signing, not after.<\/p>\n<h2 id=\"what-counts-as-a-merger-of-companies\" tabindex=\"-1\">What counts as a \u201cmerger of companies\u201d<\/h2>\n<p>People hear \u201cmerger\u201d and think of two companies combining into one. Israeli law is much broader. The deal must also fall within one of the statutory alternatives. Under the Economic Competition Law, a filing is required where the transaction creates a monopoly, or where the merging parties\u2019 combined annual turnover exceeds 360 million ILS and at least two of them each have a turnover of 20 million ILS or more, as set out in the <a href=\"https:\/\/main.knesset.gov.il\/Activity\/Legislation\/Laws\/Pages\/LawPrimary.aspx?lawitemid=2000247&amp;st=lawlaws&amp;t=lawlaws\" rel=\"nofollow noopener noreferrer\" target=\"_blank\">text of the law on the Knesset site<\/a>.<\/p>\n<p>The 20 million ILS floor matters for smaller companies. When the Knesset Economic Committee approved the amended merger regulations, it explained that <a href=\"https:\/\/main.knesset.gov.il\/News\/PressReleases\/pages\/press12012022b.aspx\" rel=\"nofollow noopener noreferrer\" target=\"_blank\">the Commissioner\u2019s approval would be required only for companies with annual turnover above 20 million ILS<\/a>. That was meant to ease the load on small and mid-sized transactions.<\/p>\n<p>A few things to keep in mind:<\/p>\n<ul>\n<li>The turnover figures in the statute are adjusted over time. Always check the current numbers with the Competition Authority or counsel before you decide you are under the line.<\/li>\n<li>Turnover is measured for the merging parties, which can include group companies. A small target owned by a large group may not be as small as it looks on paper.<\/li>\n<li>A monopoly position changes the picture entirely. Commentary compiled by the Heth Center notes that <a href=\"https:\/\/www.colman.ac.il\/teaching\/our-centers\/heth-center\/database\/mergers\/\" rel=\"nofollow noopener noreferrer\" target=\"_blank\">failing to notify when one party is a monopoly is a severe breach<\/a> that can lead to the merger being nullified. The reporting duty applies even when no actual harm to competition is expected.<\/li>\n<\/ul>\n<h3 id=\"when-you-are-under-the-threshold\" tabindex=\"-1\">When you are under the threshold<\/h3>\n<p>Below the thresholds there is usually no filing duty. But the Competition Authority keeps some discretion. According to the Authority\u2019s own page on <a href=\"http:\/\/www.gov.il\/he\/pages\/merger-regualtion\" rel=\"nofollow noopener noreferrer\" target=\"_blank\">exemptions for companies with turnover under 20 million ILS<\/a>, parties that technically cross the minimum can be told a formal notice is not required, as long as they make a transparent and complete submission of the relevant details for individual assessment. If your deal sits close to the line, or the market is concentrated, a short proactive submission can be cheaper than the risk of guessing wrong.<\/p>\n<h2 id=\"how-long-the-review-takes\" tabindex=\"-1\">How long the review takes<\/h2>\n<p>The initial review period is 30 days from receipt of the notice. Under the rules summarized in the <a href=\"https:\/\/main.knesset.gov.il\/Activity\/Legislation\/Laws\/Pages\/LawBill.aspx?lawitemid=2068499&amp;t=LawReshumot\" rel=\"nofollow noopener noreferrer\" target=\"_blank\">Knesset\u2019s explanatory material on Amendment 21<\/a>, the Authority can extend that by two further 30-day blocks if it needs more time. A further 60-day extension is possible after consulting the Exemptions and Mergers Committee. That is why completeness matters so much (see below). If the data is missing, the clock may not start when you think it did.<\/p>\n<p>For most straightforward deals, the Authority\u2019s published decisions show consent coming after the standard period. For example, the <a href=\"https:\/\/www.gov.il\/BlobFolder\/legalinfo\/2024-048774\/he\/mirsham_2024-048774.pdf\" rel=\"nofollow noopener noreferrer\" target=\"_blank\">notice in the Official Gazette of March 2025<\/a> refers to approvals taking effect after 30 days from receipt of the notice. Depending on the deal, the forms cover general information and then horizontal, vertical or conglomerate relationships between the parties. The Heth Center\u2019s overview of the regime describes how the regulator <a href=\"https:\/\/www.colman.ac.il\/teaching\/our-centers\/heth-center\/database\/mergers\/\" rel=\"nofollow noopener noreferrer\" target=\"_blank\">insists on complete data in each form<\/a>, and says an incomplete or inaccurately filled form can be treated as a failure to notify.<\/p>\n<h3 id=\"submitting-by-email\" tabindex=\"-1\">Submitting by email<\/h3>\n<p>Filing is now mostly digital. The Competition Authority\u2019s <a href=\"http:\/\/www.gov.il\/he\/departments\/general\/mergers-emailforms\" rel=\"nofollow noopener noreferrer\" target=\"_blank\">page on submitting merger notices and exemption requests by email<\/a> lists the dedicated address forms@competition.gov.il. The details that catch people out:<\/p>\n<ul>\n<li>Files larger than 10MB have to be split across several emails, each numbered clearly, for example \u201c1 of 6\u201d.<\/li>\n<li>A submission sent after 16:00 on a working day, or on a non-working day, is treated as received on the next working day.<\/li>\n<\/ul>\n<p>That second point is the one to put on your closing calendar. A filing sent at 17:00 on a Thursday is not received on Thursday, and in Israel the working week and holidays can move things further than you expect. The page itself was last updated in October 2026, so check it for any change before you file.<\/p>\n<h3 id=\"what-takes-the-time\" tabindex=\"-1\">What takes the time<\/h3>\n<p>In our experience of how these deals run, and consistent with what the academic commentary says, the bottleneck is rarely the form. It is gathering the information behind it: shareholder details, turnover by business unit, market descriptions and the documents that support them. Start that list on day one of due diligence, not the week before signing.<\/p>\n<h2 id=\"mistakes-that-put-a-deal-at-risk\" tabindex=\"-1\">Mistakes that put a deal at risk<\/h2>\n<p><strong>1. Assuming a foreign deal is outside the law.<\/strong> If the Israeli target, or the Israeli turnover, is significant, the Israeli regime can apply even when the buyer and seller sit abroad and the contract is governed by another system. The test is the effect on Israeli markets and companies.<\/p>\n<p><strong>2. Closing before consent.<\/strong> Where a filing is required, closing before the Commissioner\u2019s consent is the problem itself. Completion conditions in your agreement should tie closing to clearance.<\/p>\n<p><strong>3. Counting only the headline stake.<\/strong> Voting rights, board appointment rights and profit rights each have their own 25% trigger. Look at all of them together.<\/p>\n<p><strong>4. Ignoring the monopoly rule.<\/strong> The Heth Center notes that the Authority\u2019s oversight is rising, especially for large groups and suppliers with market power, and points to a court ruling against Meta for not reporting acquisitions of two Israeli companies in 2018 and 2019 when it already held a monopoly position. Whatever your size, check whether any party could be a monopoly in a relevant market.<\/p>\n<p><strong>5. Filing an incomplete form.<\/strong> The \u201ccheck every box\u201d approach is real. An unfinished form is a risk, not a head start.<\/p>\n<p><strong>6. Forgetting the tax side.<\/strong> Clearance from the Competition Authority is separate from tax. A share sale or a combination deal can trigger its own filings and rates. Someone on the ground has to own the filing calendar.<\/li>\n<li><strong>Language.<\/strong> The forms, the Authority\u2019s correspondence and its published decisions are in Hebrew. A bilingual team removes a lot of friction.<\/li>\n<li><strong>Documents from abroad.<\/strong> Corporate records, group charts and turnover data from foreign affiliates all need to be assembled in a form the Authority will accept.<\/li>\n<li><strong>Parallel approvals.<\/strong> Merger clearance is one gate among several. Before price negotiations are finished, run a short threshold and trigger analysis: Is there a 25% trigger anywhere in the structure? Is any party a possible monopoly in a relevant market? What is each party\u2019s Israeli turnover? If the answer is clear, you can write the right conditions and the right long-stop date into the agreement. If the answer is borderline, you can decide early whether to file or to approach the Authority proactively.<\/p>\n<p>We also tell clients plainly that a merger filing is not a formality to hand off at the last minute. The information the Authority asks for is detailed, and the Israeli team needs to work closely with the foreign principals, who often hold the data.
